2. Scope of services

STV Solutions S.R.L., operating under the Solarial brand, provides professional solar panel cleaning services, including but not limited to: panel cleaning using deionized water and specialized equipment, snow removal from panels, and vegetation trimming near photovoltaic installations.

Services are available to both businesses and individuals throughout Romania.

3. Service requests and confirmation

3.1. Clients may request services by completing the contact form on the website, by email, or by phone.

3.2. A service request does not constitute a binding agreement. A contract is considered concluded only upon written confirmation of the order by Solarial (email, signed quote, or framework agreement).

3.3. For industrial or commercial projects, Solarial may carry out a preliminary site assessment to evaluate access conditions, exact surface area, and soiling level. The site assessment is provided free of charge unless otherwise agreed.

4. Pricing and payment

4.1. Prices are provided through individualized quotes based on the installation's surface area, location, difficulty level, and requested frequency of interventions.

4.2. All prices communicated are exclusive of VAT unless otherwise specified.

4.3. Payment shall be made according to the terms set out in the quote or contract, by bank transfer or other agreed methods. The standard payment term is 15 calendar days from the invoice date.

4.4. In case of late payment, Solarial reserves the right to charge late payment penalties of 0.1% per day of delay on the outstanding invoice amount, without prior notice.

5. Service execution

5.1. Solarial commits to performing services professionally, using appropriate equipment and methods that do not damage the photovoltaic panels or affect the manufacturer's warranty.

5.2. The client shall provide safe and unobstructed access to the photovoltaic installation, including access to water and electricity on site where necessary.

5.3. Interventions are scheduled by mutual agreement. If weather conditions (strong wind, rain, extreme temperatures) do not allow the work to be carried out safely, Solarial reserves the right to reschedule the intervention at no additional cost to the client, except for travel costs already incurred.

5.4. The duration of the intervention depends on the installation's surface area, soiling level, and access conditions. Solarial provides a realistic estimate before commencing work.

6. Client obligations

6.1. The client warrants that they hold the legal right to request interventions on the photovoltaic installation (as owner, administrator, tenant with intervention rights, etc.).

6.2. The client shall inform Solarial in advance of any special conditions of the installation: known defects, damaged panels, exposed cables, access restrictions, or any other element relevant to the safety of Solarial personnel.

6.3. The client shall ensure a safe and accessible working environment. Solarial is not liable for accidents caused by non-compliant or undisclosed working conditions.

7. Liability and warranties

7.1. Solarial is liable exclusively for direct damages caused by proven negligence of its personnel during service delivery, limited to the contract value.

7.2. Solarial is not liable for indirect losses, energy production losses, loss of profit, or other consequential damages.

7.3. Solarial does not guarantee a specific level of panel output increase after cleaning, as performance depends on multiple external factors (irradiation, temperature, panel condition, inverter quality, etc.).

7.4. Solarial holds professional liability insurance. Policy details are available upon request.

8. Intervention report

8.1. Upon completion of each intervention, Solarial may provide a report including before/after photographs and, upon request, comparative energy production measurements.

8.2. The intervention report is for informational purposes only and does not constitute a performance guarantee for the photovoltaic installation.

9. Framework agreements and periodic interventions

9.1. Clients opting for periodic interventions (typically 2 per year, spring and autumn) may benefit from framework agreements at preferential rates.

9.2. The framework agreement sets out the frequency, price per intervention, access conditions, and payment terms. The framework agreement may be terminated with 30 calendar days' prior notice.

10. Cancellation and rescheduling

10.1. The client may cancel a scheduled intervention at least 48 hours before the agreed date at no cost.

10.2. Cancellations made less than 48 hours in advance, or denial of access on the scheduled date, entitle Solarial to invoice the travel costs incurred.

11. Force majeure

Neither party shall be liable for failure to perform contractual obligations if such failure is caused by a force majeure event as defined under Romanian law. The affected party shall notify the other party within 5 business days of the occurrence of such event.

12. Intellectual property

All content on www.solarial.org — including text, images, graphics, logo, and design — is the property of STV Solutions S.R.L. and is protected by copyright law. Reproduction, distribution, or commercial use of the content without the written consent of Solarial is prohibited.

14. Governing law and disputes

14.1. These Terms and Conditions are governed by Romanian law.

14.2. Any dispute arising from or in connection with these terms shall be resolved amicably. If the parties cannot reach an agreement, the dispute shall be submitted to the competent courts at the registered office of STV Solutions S.R.L.
